Terms of Service

By using EasyBind you agree to these Terms. They explain the service, your account, billing through Paddle, how your data is handled, and the rules that apply to everyone.

01Agreement to these Terms

These Terms of Service (the “Terms”) form a binding agreement between you and AmpShift (“EasyBind”, “we”, “us”, or “our”), a company registered in Riyadh, Kingdom of Saudi Arabia, governing your access to and use of the EasyBind websites, web studio, mobile shell application, APIs, and related services (together, the “Service”).

By creating an account, accessing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

02The Service

EasyBind is a no-code platform that lets you build, publish, and operate “micro apps”—lightweight, single-purpose data-capture applications such as intake forms, inspections, incident reports, approvals, and surveys—through a guided builder, and lets your end users complete them inside a unified mobile shell application.

We may add, change, or remove features at any time. Some features are offered on a paid plan, in limited release, or labeled “coming soon,” and may change or be withdrawn.

03Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. We use passwordless authentication (email magic links / one-time codes); you are responsible for maintaining access to the email address and devices associated with your account and for all activity that occurs under it.

You agree to provide accurate account information and to keep it current. Notify us promptly of any unauthorized use of your account at support@easybind.ai.

04Plans, billing, and payment processing

The Service is offered across Free and paid subscription plans (currently Starter, Pro, and Enterprise). Paid plan features, limits, and prices are described at the point of purchase and may change on a prospective basis.

Our payments and subscriptions are handled by Paddle (Paddle.com Market Ltd) acting as our authorized reseller and Merchant of Record. When you purchase a paid plan, your contract for the purchase is with Paddle, and Paddle’s buyer terms also apply to that transaction. Paddle collects payment, handles billing and applicable taxes, and processes refunds on our behalf.

Paid plans are billed on a recurring basis (monthly or annually, as selected) and renew automatically until cancelled. By subscribing, you authorize Paddle to charge your payment method for each renewal at the then-current price plus applicable taxes. You can cancel at any time from your account settings or via the receipt/management link provided by Paddle; cancellation stops future renewals and takes effect at the end of the current billing period.

Refunds are governed by our Refund Policy.

05Your content and data

“Your Content” means the app schemas you create and the submissions, files, images, and other data captured through your apps. As between you and AmpShift, you own and retain all rights to Your Content.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and back up Your Content solely to operate and provide the Service to you and your end users, and as described in our Privacy Policy. Where we process personal data on your behalf, we do so as your processor under your instructions.

You can export all captured submission data as CSV on every plan, including Free. You are responsible for Your Content, for having all rights and lawful bases needed to collect and process it, and for ensuring your apps comply with laws applicable to you and your end users.

06Acceptable use

You agree not to use the Service to:

  • break the law or infringe the rights of others, including intellectual-property, privacy, and data-protection rights;
  • collect or process data you have no lawful right to handle, or sensitive data in violation of applicable law;
  • send spam or unlawful, deceptive, harassing, or harmful content;
  • upload malware or attempt to gain unauthorized access to, disrupt, or reverse engineer the Service or its infrastructure;
  • resell, sublicense, or use the Service to build a competing product except as expressly permitted; or
  • use the Service for any high-risk use that requires fail-safe performance, or in a manner that violates a feature’s stated limitations (for example, templates marked as not HIPAA-compliant or for pilot/testing only).

07Marketplace

The Service may let you publish app templates to, or clone templates from, a marketplace. If you publish, you grant other users a license to use and adapt your template and you represent that you have the right to do so. Revenue-share payouts, where offered, are made through our payment processor subject to its terms and any minimum thresholds. We may remove or refuse any listing at our discretion.

08Intellectual property and license

The Service, including its software, design, and content (excluding Your Content), is owned by AmpShift or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. All rights not expressly granted are reserved.

09Third-party services

The Service relies on third-party providers (for example, cloud hosting, payment processing, email delivery, and analytics). Features that depend on these providers may be subject to their terms, and we are not responsible for the acts or omissions of third parties or for third-party services you choose to integrate.

10Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that it will meet your requirements. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

11Limitation of liability

To the maximum extent permitted by law, AmpShift and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total aggregate liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or USD 100.

12Indemnification

You will defend, indemnify, and hold harmless AmpShift from and against any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

13Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees, or use the Service in a way that risks harm to others or to the Service. On termination, your right to use the Service ends; we may delete Your Content after a reasonable retention period, so export anything you need beforehand.

14Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-product notice). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.

15Governing law and disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Kingdom of Saudi Arabia, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the competent courts of Riyadh, Kingdom of Saudi Arabia, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing in these Terms limits any mandatory consumer-protection rights you have under the laws of your country of residence.
